Wholesale Terms & Conditions

These terms apply to all wholesale and bulk orders placed with Wares of Knutsford Ltd.
By placing a wholesale order, you agree to the following conditions.


1. Wholesale Orders

Wholesale orders are for customers buying in larger quantities or by the case/pallet.
A minimum order value of £550 (excluding VAT and delivery) applies to all wholesale purchases.


2. Prices and VAT

Wholesale pricing on our website includes VAT, caps, and delivery.

Wholesale quotations provided by our sales team are quoted by product line and exclude VAT, which will be shown separately on your invoice.

Prices may change without notice, but confirmed orders will always be honoured at the agreed rate.

For clarity, an order is only considered confirmed when:

  1. We have issued a formal quotation.
  2. You have sent us a purchase order (or written acceptance).
  3. We have provided an order confirmation in return.

Verbal discussions, provisional quotes, or email enquiries do not constitute a confirmed order until all three steps above are complete.

Our quotations are valid for a maximum of 30 days (unless otherwise stated) and are subject to change if the inbound costs of glass or transport have altered since quotation.
The price quoted excludes delivery (unless otherwise stated).

We may decline to deliver if:

  1. We believe that it would be unsafe, unlawful or unreasonably difficult to do so; or
  2. The premises or access to them are unsuitable for our delivery vehicle.

3. Extended Producer Responsibility (EPR)

Under UK packaging regulations, an EPR (Extended Producer Responsibility) charge applies to all packaging materials supplied with your order.

This includes (but is not limited to):

  • Glass containers
  • Metal and plastic closures
  • Wooden pallets
  • Cardboard boxes
  • Layer boards used between pallet layers
  • Plastic pallet wrap
  • For bespoke wholesale orders (placed by quotation, purchase order, or direct invoice), the EPR charge will appear as a separate line on your invoice.
  • For wholesale pallet orders placed directly through our website, the EPR cost is already included in the product price.

The EPR charge can be removed only if you complete and return an EPR Exemption Declaration Form confirming that one of the following applies:

  1. Your company’s turnover is over £2 million (you report your own packaging).
  2. The glass and packaging are used for non-household applications.
  3. The goods are exported outside the UK.

If we don’t have a valid exemption form on file, the EPR charge will be applied automatically.


4. Payment Terms

  • Proforma (payment in advance): Required for all new wholesale customers.
  • 30-day credit terms: Available only to approved account holders.
    • Credit applications are subject to approval.
    • Accounts may be placed on hold if invoices become overdue.
  • All payments must be made in GBP by bank transfer or other approved method.

If you fail to pay us in full on the due date, we may:

  1. Suspend or cancel future deliveries.
  2. Cancel any discounts previously offered.
  3. Charge interest at the rate set under section 6 of the Late Payment of Commercial Debts (Interest) Act 1998:
    • Calculated on a daily basis from the date of invoice until payment;
    • Compounded on the first day of each month; and
    • Charged before and after any judgment (unless a court orders otherwise).
  4. Claim fixed-sum compensation under section 5A of the same Act to cover our credit control costs.
  5. Recover the cost of legal action taken to obtain payment.

If you have an approved credit account, we may:

  • Withdraw or reduce your credit limit; or
  • Bring forward your due date for payment.

We may take any of these actions at any time and without notice.

Business customers do not have the right to set off any money you may claim from us against anything you may owe us.


5. Delivery

  • Wholesale orders are usually shipped on pallets via trusted hauliers.
  • Pallet costs may be charged separately or included in the item price – this will be shown on your invoice.
  • We aim to dispatch in-stock goods within a few working days, but lead times can vary.
  • Deliveries are made to the address agreed at the time of order, and it is the customer’s responsibility to ensure this address is correct and that someone is available to receive the delivery.
  • Customers are very welcome to request a preferred delivery day, which we will do our best to accommodate.
  • Re-deliveries are always chargeable if no one is available to accept delivery when the haulier arrives.
  • Pallet couriers provide a kerbside delivery service only and are not obliged to use a pump truck to move pallets beyond the delivery point or onto private property.
  • Customers must ensure they have suitable equipment, such as a pump truck or forklift, to safely unload or move bulk pallet deliveries.
  • Please check goods carefully on arrival and report any damages or shortages within 3 working days of delivery.

Delays caused by couriers, weather, or other factors outside our control do not make us liable for compensation.


6. Risk and Ownership

Risk in the goods passes to you once the goods are delivered, but ownership remains with Wares of Knutsford until payment has been made in full.
If payment is overdue, we may suspend further deliveries and reserve the right to recover goods supplied.


7. Returns and Damages

  • Please inspect all goods immediately on delivery.
  • Any damaged or incorrect items must be reported within 3 working days.
  • We will arrange collection and provide replacements or credit once the goods are returned and inspected.
  • If, following our investigation, the goods are found to be defective in material or workmanship, and you have complied with the reporting conditions in full, we will (at our option) repair the goods, replace the goods, or refund the price.
  • We are not liable for any other loss or damage (including indirect or consequential loss, financial loss, loss of profits, or loss of use) arising from the contract, supply, or use of goods, even if we are negligent.
  • Returns for “change of mind” are not accepted on wholesale or bulk orders unless agreed in writing.

8. Product Information and Use

  • All glassware supplied is manufactured for commercial use.
  • Products are stored in a non-sterile environment and must be cleaned or sterilised before use.
  • We strongly encourage all wholesale customers to request free samples before placing large or first-time orders. This allows you to check the shape, size, and suitability of the product for your intended use.
  • Samples should be used for careful testing with your own products, under the correct temperature, storage, and filling conditions, to ensure the packaging is fit for purpose. This includes testing where a mechanical filling or production line will be used.
  • If you choose to place a wholesale order for a product you haven’t previously sampled and tested, you do so at your own risk.
  • Should you later wish to return such goods because they are not suitable, you will be liable for all return transport costs, and a 5% restocking fee will be applied.
  • We cannot accept responsibility for any filling or labelling errors made after purchase.

9. Return of Goods

We will accept the return of goods from you only:

  1. By prior arrangement (confirmed in writing);
  2. On payment of an agreed handling charge (unless the goods were defective when delivered); and
  3. Where the goods are as fit for sale on return as they were on delivery.

10. Liability

Our liability is limited to the value of the goods supplied.
We are not responsible for any indirect or consequential loss, such as lost profits, delays, or financial loss, arising from the use or late delivery of our products.


11. Force Majeure

We are not liable for delays or failure to deliver caused by events beyond our control — including strikes, transport issues, weather, or other unexpected circumstances.


12. Confidentiality and Data

We treat all customer and business information as confidential and in accordance with UK data protection laws.
We do not share customer information with third parties except where necessary to fulfil your order.


13. Governing Law

All wholesale sales are governed by English law, and any disputes will be handled in the English courts.
